Ziphii Terms of Service

Welcome to Ziphii Limited. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Ziphii Limited, a company registered in England with its registered office at 184 Cambridge Science Park, Milton Road, Milton, Cambridge, CB4 0GA, United Kingdom (“Ziphii,” “we,” “us,” or “our”).
These Terms shall be governed by, and construed in accordance with, the laws of England, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be resolved exclusively through binding arbitration in accordance with the Arbitration Rules of the London Court of International Arbitration (“LCIA Rules”) in force at the time of the dispute. The seat of arbitration shall be London, England, and the proceedings shall be conducted in English.

Eligibility & Account Requirements
Legal Capacity
You must have the legal capacity to enter into binding agreements under the laws of your jurisdiction. By using our Services, you represent and warrant that you meet this requirement.
If you're agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity's behalf and bind them to these Terms (in which case, the references to “you” and “your” throughout this document refer to that organization or entity).
Minimum Age
You must be sixteen (16) years of age, or of the legal age of majority in your jurisdiction, whichever is higher, and possess the legal authority, right, and freedom to enter into these Ziphii Terms and to form a binding agreement, either for yourself or on behalf of the person or entity you represent. By creating an account or using any Ziphii product, applications or service (including Webb and any future offerings), you confirm that you meet these eligibility requirements.
Compliance with Laws
You agree to comply with all applicable export control and sanctions laws and regulations, including those administered by the United Kingdom, the United States, the European Union, and any other relevant jurisdiction. You represent that you are not:
- Located in, under the control of, or a national or resident of any country or territory subject to comprehensive sanctions,
- Listed on any restricted or denied parties list, or
- Using the Services for any purpose prohibited by applicable export control laws, including the development, design, manufacture, or production of missiles, nuclear, chemical, or biological weapons.
Account Registration
You must register an account to access and use the Services. All information provided during registration must be accurate, complete, and kept up to date. We reserve the right to suspend or terminate your account if we believe any information provided is false, misleading, or incomplete.
Multiple Accounts
You may only create and maintain one account per user.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify Ziphii of any unauthorized use or suspected security breach. Ziphii will not be liable for any loss or damage arising from your failure to comply with this security obligation.
Acceptable Use
When using Ziphii's Services, you agree to abide by the following rules and responsibilities to ensure a safe, lawful, and respectful environment for all users.
Prohibited Activities
You may not use the Services to:
- Break the law: Violate any applicable local, national, or international law, regulation, or legal order.
- Infringe rights: Infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any person or entity.
- Distribute harmful content: Upload, transmit, or distribute viruses, malware, spyware, or any other malicious code or harmful materials.
- Post harmful or illegal content: Share content that is abusive, harassing, defamatory, obscene, hateful, discriminatory, or otherwise objectionable.
- Exploit minors: Share or promote content that exploits or harms children in any way.
- Spam or misuse messaging features: Send unsolicited messages, bulk communications, or spam, or otherwise misuse Ziphii's messaging, email, SMS, or community features.
- Misrepresent yourself: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Engage in fraudulent or deceptive activity: Use the Services for scams, phishing, or other deceptive practices.
- Interfere with the platform: Interfere with or disrupt the operation of the Services or the networks or systems connected to them, including attempting to bypass or circumvent security measures.
- Use for prohibited business purposes: Operate, promote, or engage in any business involving illegal products, prohibited services, or activities that violate applicable industry regulations.
Community & Collaboration Guidelines
When engaging in Ziphii's community, events, or collaborative tools, you agree to:
- Treat all members with respect and professionalism.
- Avoid harassment, bullying, or discriminatory remarks.
- Share only relevant and constructive content.
- Refrain from posting false or misleading information.
Monitoring & Enforcement
Ziphii reserves the right to monitor, review, and remove any content or activity that violates this Acceptable Use Policy, and to suspend or terminate accounts engaged in prohibited conduct, without notice.
Content Ownership & Intellectual Property
Your Content
- Ownership: You retain full ownership of any content, data, files, text, images, videos, audio, or other materials (“Your Content”) that you upload, create, or store using the Services.
- License to Ziphii: By submitting or uploading Your Content to the Services, you grant Ziphii a worldwide, non-exclusive, royalty-free, transferable license to use, host, store, reproduce, modify (solely for formatting/display purposes), publish, distribute, and display Your Content solely as necessary to operate, promote, and improve the Services.
- Responsibility: You are solely responsible for Your Content, including ensuring that it complies with applicable laws and these Terms. Ziphii does not claim ownership of Your Content.
Ziphii Content
- Ownership: All intellectual property rights in the Services, including but not limited to software, source code, designs, templates, features, functionality, trademarks, logos, and branding (“Ziphii Content”), are and will remain the exclusive property of Ziphii Limited and its licensors.
- License to You: Subject to your compliance with these Terms, Ziphii grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, professional, or organizational purposes.
- Restrictions: You may not copy, modify, distribute, sell, lease, or reverse-engineer any part of the Services or Ziphii Content unless expressly permitted in writing by Ziphii.
Third-Party Content & Integrations
- Third-Party Materials: The Services may display, include, or provide access to third-party content, tools, or integrations (e.g., Zoom, Google Meet, payment processors). Such content is subject to the respective third party's terms and conditions.
- Responsibility: Ziphii is not responsible for and does not endorse third-party content or services, and your use of them is at your own risk.
Intellectual Property Infringement
- Claims: If you believe Your Content has been used or copied in a way that constitutes copyright infringement, please contact Ziphii's designated Copyright Agent with a written notice containing the information required under applicable copyright laws.
- Enforcement: Ziphii reserves the right to remove any infringing content and terminate accounts that repeatedly infringe the rights of others.
Privacy & Data Protection
Commitment to Privacy
Ziphii Limited is committed to protecting your personal information and respecting your privacy. We process your data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as well as other relevant privacy laws in jurisdictions where we operate.
Privacy Policy
- Reference: Our Privacy Policy forms an integral part of these Terms and explains in detail how we collect, use, store, share, and protect your personal data.
- Acceptance: By using the Services, you agree to the terms of our Privacy Policy.
Data Collection & Use
- Personal Data: We collect personal data that you provide directly (e.g., name, email, payment details, profile information) and information automatically generated through your use of the Services (e.g., IP address, device type, usage activity).
Purpose: We use your personal data to:
- Provide, maintain, and improve the Services;
- Personalize your experience;
- Communicate with you (including service-related notices and promotional messages, subject to your preferences);
- Facilitate transactions and payment processing;
- Detect, prevent, and address technical issues, security incidents, and misuse.

- Third-Party Processors: We may share your personal data with trusted third-party service providers (e.g., hosting services, payment processors, analytics providers) strictly for the purposes of operating the Services.

We retain personal data only for as long as necessary to fulfill the purposes for which it was collected, including legal, accounting, or reporting requirements. When no longer needed, we securely delete or anonymize it.

Payment Terms & Subscription Plans
Subscription Requirement
Certain features and services offered through Ziphii require a paid subscription. The scope of access, feature availability, and applicable limits are determined by the specific plan selected by the user.
Plan Descriptions and Limits
Details of each subscription plan, including features, usage limits, pricing, and any special conditions, are published on our official Pricing & Plans Page which is hereby incorporated by reference into these Terms. We may update the Pricing & Plans Page from time to time to reflect changes to our offerings.
Billing and Payment
- Billing Cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually), depending on the plan chosen at the time of purchase.
- Payment Methods: We accept payment via credit card, debit card, and other methods as listed on our payment page. By providing payment details, you authorize us to charge the applicable fees to your chosen payment method.
- Failed Payments: If payment cannot be processed, we may suspend or terminate your access until payment is successfully completed.
Automatic Renewal
Unless you cancel before the end of the current billing cycle, your subscription will automatically renew under the same terms and duration.
Price Changes
We may change our subscription fees at any time. Price changes will take effect at the start of the next billing cycle following the notice period provided to you. If you do not agree to the change, you must cancel your subscription before the renewal date.
Refunds
All payments are non-refundable except where required by applicable law. No refunds will be given for partial periods of service or unused features.
Taxes
All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes where applicable.
Warranties
No Warranties
Our Services are provided “as is” and without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Termination & Suspension of Accounts
Termination by User
You may terminate your account at any time by following the instructions provided within your account settings. For paid subscription plans, termination will take effect at the end of your current billing cycle, and no prorated refunds will be issued unless otherwise required by law.
Termination or Suspension by Ziphii
Ziphii reserves the right, at its sole discretion, to suspend or terminate your account, with or without prior notice, if:
- You breach these Terms of Service or any applicable policy.
- Your use of the platform violates any applicable law, regulation, or third-party rights.
- Your actions cause or are likely to cause harm, risk, or legal liability to Ziphii, its affiliates, other users, or the public.
- Fraudulent, abusive, or suspicious activity is detected in connection with your account.
Effect of Termination or Suspension
Upon termination or suspension:
- Your right to access and use the Ziphii platform and all related products or playbooks will immediately cease.
- We may delete your content, files, and account data from our systems, except where retention is required for legal, compliance, or operational reasons.
- Any outstanding fees or charges incurred prior to termination remain due and payable in full.

Disclaimers & Limitation of Liability
Service Provided “As Is”
The Ziphii platform and all products, applications and services (including Webb and any future offerings) are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Ziphii makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Warranties regarding uptime, availability, accuracy, completeness, or reliability of the services.
- Warranties that the services will be free from errors, defects, viruses, or other harmful components.
No Guarantee of Results
Ziphii does not guarantee that the use of our platform will result in increased audience engagement, revenue growth, professional visibility, or any specific business outcome. Your success depends on many factors beyond our control.
Limitation of Liability
To the maximum extent permitted by applicable law, Ziphii, its affiliates, directors, employees, and agents shall not be liable for:
- Indirect, incidental, special, punitive, or consequential damages (including loss of profits, revenue, data, goodwill, or business opportunities) arising from or related to your use of the platform.
- Any damages exceeding the total amount you paid to Ziphii in the 12 months preceding the event giving rise to the claim.
Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, Ziphii's liability will be limited to the maximum extent permitted by law in your jurisdiction.
Third-Party Services
Ziphii may integrate or link to third-party products or services. We are not responsible for the performance, reliability, or content of any third-party services, and your use of them is at your own risk.
Indemnification
Your Agreement to Indemnify
You agree to defend, indemnify, and hold harmless Ziphii Limited, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of the platform — including Webb and any future Ziphii applications or products.
- Your violation of these Terms of Service or any other policies referenced herein.
- Your violation of any law, regulation, or third-party rights (including intellectual property or privacy rights).
- Content you upload, post, or transmit via the platform, including any allegations that such content infringes, misappropriates, or violates the rights of a third party.
Cooperation in Defense
You agree to cooperate fully with Ziphii in the defense of any claim. Ziphii reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you will not settle any matter without Ziphii's prior written consent.
Governing Law & Dispute Resolution
Governing Law
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England, without regard to its conflict of law principles.
Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting Ziphii at legal@ziphii.com. We will attempt to resolve the dispute through good-faith negotiations within 30 days from the date of receiving your written notice.
Arbitration Agreement
If the dispute cannot be resolved through informal negotiations, it shall be finally resolved by binding arbitration under the London Court of International Arbitration (LCIA) Rules, which are incorporated by reference into this clause.
- The seat of arbitration shall be London, England.
- The language of the arbitration shall be English.
- The arbitration shall be conducted by a single arbitrator appointed in accordance with the LCIA Rules.
Exceptions to Arbitration
You and Ziphii agree that the following types of disputes are not subject to arbitration and may be brought in court:
- Any claim seeking to enforce or protect intellectual property rights.
- Any claim related to unauthorized use or access to the Services.
Jurisdiction for Non-Arbitrable Claims
For any dispute that is not subject to arbitration, the parties agree to submit to the exclusive jurisdiction of the courts of England.
Changes to the Terms
Right to Modify
Ziphii reserves the right to update, modify, or replace these Terms at any time, to reflect changes in our services, legal requirements, or business practices.
Notification of Changes
If we make material changes, we will provide you with reasonable advance notice through one or more of the following methods:
- Posting the updated Terms on our website with a revised “Last Updated” date.
- Sending an email notification to the address associated with your account.
- Providing an in-platform notice when you next log in.
Effective Date
Unless otherwise stated, updated Terms will take effect 30 days after the advance notice of the update is sent. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
Review Responsibility
It is your responsibility to review the Terms periodically for changes. If you do not agree to the updated Terms, you must stop using the Services before they take effect.
Miscellaneous Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other linked policies, constitute the entire agreement between you and Ziphii regarding your use of the Services, and supersede any prior agreements, understandings, or communications, whether written or oral, relating to the subject matter herein.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of our rights to enforce them later. Any waiver must be in writing and signed by an authorized representative of Ziphii.
Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent from Ziphii. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
Force Majeure
Ziphii shall not be liable or responsible for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, internet or telecommunication outages, or other force majeure events.
Headings
The headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
